Companies are registered with CIPC (Companies and Intellectual Property Commission) and any changes to directors of Memorandum of Incorporations are submitted through CIPC as well.
Annual returns and Financial Accountability Supplements should be lodged at CIPC on the anniversary of the incorporation date. Failure to do so will incur penalties, as well as the fact that CIPIC can deregister the entity of its own accord.
Trusts are registered with the Master of the High Court, by submission of a Trust Deed. Beneficiaries from an income or capital perspective are nominated in the Trust Deed.
Trustees of a trust are appointed through submission of the necessary documentation to the Master, after which a Letter of Authority is issued by the Master, confirming the trustees of the trust.
Any amendments to trustees, beneficiaries, or to the content of the Trust Deed is to be lodged with the Master and approved as such.
Any removal of a trustee will only be considered by the Master if it adheres to the terms of the trust deed and if there is a replacement trustee (consideration should be given to ensure there is an independent trustee).
